Refund & Cancellation Policy

This Refund & Cancellation Policy ("Policy") explains the subscription cancellation, renewal, refund, credit, and related billing rules applicable to products and services provided by Frigga Cloud Private Limited ("Frigga", "we", "us", or "our").
This Policy forms part of Frigga's Terms of Service and applies to purchases and subscriptions made directly from Frigga, unless a separate Order Form, Enterprise Agreement, Managed Services Agreement, or other written agreement expressly provides different terms.
Nothing in this Policy limits any refund, cancellation, withdrawal, or other consumer right that cannot lawfully be excluded or restricted.
1. SERVICES AND BILLING MODELS
Frigga provides software and services relating to software engineering, AI-assisted engineering, cloud infrastructure, DevOps, observability, incident management, access management, and related technical operations, including Code0, Vörr, and other Frigga products and services collectively referred to as the "Services."
Depending on the applicable Service and plan, Frigga may offer:
- monthly subscriptions;
- annual subscriptions;
- seat-based subscriptions;
- usage-based subscriptions;
- prepaid or purchased usage credits;
- free trials;
- promotional credits;
- Enterprise subscriptions; and
- other commercial arrangements disclosed before purchase.
The applicable price, billing period, included usage, seat count, credit allocation, subscription term, and other commercial terms will be displayed before purchase or stated in the applicable Order Form or agreement.
2. FREE TRIALS
Frigga may offer free trials for selected Services or plans.
Where a free trial is offered:
- the applicable trial period and conditions will be disclosed before signup;
- the trial may include product-specific usage or feature limitations;
- payment information may be required before or during the trial; and
- the trial may automatically convert into a paid subscription where that conversion is clearly disclosed before signup.
If a trial automatically converts into a paid subscription, you should cancel before the stated conversion date if you do not wish to continue with the paid Service.
A free trial does not itself create a right to a refund after a valid paid subscription begins, except where required by applicable law or where the charge resulted from a billing error or other circumstance eligible for a refund under this Policy.
3. AUTOMATIC RENEWAL
Where a subscription is identified as automatically renewing before purchase, it will renew for the applicable billing period until cancelled in accordance with this Policy or the applicable agreement. For example:
- a monthly subscription will generally renew monthly; and
- an annual subscription will generally renew annually.
By enrolling in an automatically renewing subscription, you authorize Frigga and/or its authorized payment processor to charge the payment method or recurring-payment mandate associated with your subscription for applicable renewal fees.
Automatic renewals remain subject to applicable payment-processor, bank, card-network, authentication, mandate, notification, and regulatory requirements.
Any applicable price increase for an existing subscription will ordinarily take effect no earlier than the next renewal period after reasonable notice, unless otherwise agreed in writing or required by applicable law.
4. HOW TO CANCEL A SUBSCRIPTION
You may cancel future renewal of a subscription:
- through the cancellation functionality available in your Frigga account, where available; or
- by contacting hello@frigga.cloud.
An email cancellation request should identify the relevant account, Organization, subscription, or billing information reasonably necessary for Frigga to identify the subscription.
Frigga does not charge a separate fee merely for cancelling future renewal of a standard online subscription.
Any termination fee, minimum commitment, committed subscription amount, or similar commercial obligation contained in a separately negotiated Enterprise Agreement, Order Form, Managed Services Agreement, or other written contract will be governed by that agreement.
5. EFFECT OF CANCELLATION
Unless otherwise stated, agreed in writing, or required by applicable law, cancelling a subscription:
- prevents the next renewal;
- does not immediately terminate access already paid for;
- allows the applicable paid Service to remain available until the end of the current paid billing period; and
- does not automatically create a right to a prorated refund for the unused portion of the current billing period.
For example, if a monthly subscription has already been paid through August 31 and is cancelled on August 15, access will generally continue until August 31 and the subscription will not renew for September.
The same principle generally applies to annual subscriptions.
Cancellation of a subscription is separate from deletion of an account, Organization, repository, integration, or other Customer Data.
6. SEAT-BASED SUBSCRIPTIONS
Certain Frigga Services may be billed according to the number of licensed or authorized users or seats.
Where seat-based billing applies:
Adding Seats
Additional seats may take effect immediately.
Frigga may charge a prorated amount for the additional seats for the remaining portion of the applicable billing period.
Removing Seats
An Organization administrator may remove or revoke a user's access during an active billing period.
Removing a user or seat does not automatically create a refund or account credit for the unused portion of the current paid billing period.
A reduction in the number of billable seats will generally take effect for billing purposes from the next applicable renewal period.
Any different treatment expressly shown through the Service or stated in an applicable Order Form will apply to that subscription.
7. GENERAL REFUND POLICY
Cancellation alone does not automatically entitle a Customer to a refund.
Frigga will provide an appropriate remedy for the materially affected unused prepaid period, which may include: Where no mandatory refund right applies, Frigga may nevertheless approve a refund or account credit in appropriate circumstances.
Refunds or billing corrections may be available in circumstances including:
- a verified duplicate charge;
- a verified billing error attributable to Frigga;
- an unauthorized transaction, where appropriate;
- a material and sustained technical failure attributable to Frigga that substantially prevents access to or use of a paid Service;
- an incorrect trial conversion or renewal charge;
- a Service discontinuation covered by Section 15;
- circumstances where applicable consumer or statutory law requires a refund; or
- other exceptional circumstances approved by Frigga.
A verified duplicate charge or billing error attributable to Frigga will be corrected or refunded as appropriate.
8. DISCRETIONARY REFUND REQUESTS
Where a Customer does not have a mandatory statutory refund right but wishes to request a discretionary refund, the request should ordinarily be submitted within seven (7) calendar days after the relevant charge.
Frigga may consider a request submitted after this period in exceptional circumstances.
When reviewing a discretionary refund request, Frigga may consider:
- the reason for the request;
- the date of the charge;
- the applicable Service and subscription type;
- the billing period;
- Service usage;
- technical circumstances;
- transaction and payment records;
- whether the charge was duplicated, unauthorized, or incorrect;
- applicable contractual terms;
- previous refunds or account credits; and
- other relevant circumstances.
The seven-day period does not limit any longer period or remedy required under applicable law.
9. UPGRADES AND DOWNGRADES
Customers may be able to upgrade or downgrade their subscription plan.
Depending on the Service and billing configuration:
- upgrades may take effect immediately;
- additional charges may be prorated for the remaining billing period;
- downgrades may take effect immediately or from the next renewal period;
- account credits may be applied where expressly stated; or
- other billing adjustments may apply.
The applicable financial treatment will be disclosed through the Service or at the time the plan change is made.
A downgrade does not automatically create a right to a refund for the unused portion of a previously purchased plan.
10. PAID USAGE CREDITS
Certain Frigga Services may allow Customers to purchase prepaid usage credits, AI credits, tool credits, compute credits, or similar units of prepaid Service usage ("Paid Credits").
Unless otherwise required by applicable law or expressly stated at the time of purchase:
- Paid Credits are non-refundable;
- unused Paid Credits cannot be redeemed for cash;
- Paid Credits may be subject to applicable usage limits or expiration terms disclosed before purchase;
- Paid Credits may not be transferable between unrelated Customers or Organizations unless Frigga expressly permits such transfer; and
- cancellation of a subscription or reduction in usage does not automatically create a right to a refund for unused Paid Credits.
Nothing in this section prevents Frigga from correcting a duplicate charge, billing error, or other payment issue relating to the purchase of Paid Credits.
11. FREE AND PROMOTIONAL CREDITS
Frigga may provide free, trial, promotional, bonus, partner, accelerator, or other complimentary credits.
Unless otherwise expressly stated:
- promotional credits have no cash value;
- they are non-refundable;
- they may not be transferred;
- they may be subject to expiration;
- they may be subject to product-specific eligibility or usage restrictions; and
- unused promotional credits may expire when the applicable promotion, subscription, Organization, or account ends.
Promotional credits are separate from Paid Credits purchased for monetary consideration.
12. PAYMENT FAILURES AND BILLING DISPUTES
Failed Payments
If a payment fails, Frigga may:
- retry the payment where permitted;
- request updated payment information;
- restrict paid functionality;
- suspend the applicable subscription; or
- terminate the subscription after reasonable notice.
A failed payment does not automatically constitute cancellation.
Customers remain responsible for valid charges properly incurred before cancellation or termination.
Account Debited but Payment Not Confirmed
If a Customer's bank or payment account is debited but Frigga does not receive confirmation of a successful transaction, the payment may be subject to reversal or reconciliation through the applicable bank, payment network, or payment processor.
Customers may contact hello@frigga.cloud with the transaction details if the issue is not resolved within the applicable processing period.
Unauthorized Transactions and Chargebacks
If you believe a Frigga charge is unauthorized or incorrect, please contact Frigga promptly so that the transaction can be investigated.
Nothing in this Policy restricts any lawful right to dispute a transaction through a bank, card issuer, payment provider, or other legally available mechanism.
Fraudulent or abusive chargeback activity may result in restriction, suspension, or termination of the associated account where permitted by applicable law and the Terms of Service.
13. HOW TO REQUEST A REFUND
To request a refund, billing correction, or account credit, contact:

Please provide, where available:
- the email address associated with the account;
- Customer or Organization name;
- applicable Service or subscription;
- invoice or transaction identifier;
- date and amount of the transaction; and
- reason for the request.
Frigga may request additional information reasonably necessary to verify the transaction, Customer, or circumstances of the request.
14. REFUND METHOD, PROCESSING, CURRENCY, AND TAXES
Where a refund is approved, Frigga will generally return the amount through the original payment method where reasonably possible.
After Frigga successfully initiates an approved refund, the amount will typically appear within approximately 5–7 working days, although the actual processing time may depend on the applicable payment processor, bank, card network, currency, payment method, and financial institution.
Frigga does not control delays caused solely by third-party financial institutions or payment networks.
Where foreign currencies are involved, the final amount received by the Customer may vary because of:
- exchange-rate movements;
- bank charges;
- payment processor charges; or
- other financial institution fees.
Where applicable, a refund may also result in corresponding tax adjustments.
Frigga may issue a revised invoice, credit note, or other accounting documentation where required by applicable tax, GST, accounting, or invoicing requirements.
15. TERMINATION AND SERVICE DISCONTINUATION
Termination for Customer Breach
If Frigga suspends or terminates a subscription because of:
- a material violation of the Terms of Service;
- fraud;
- unlawful activity;
- abuse of the Services;
- material security risk; or
- another material contractual violation,
the Customer will not automatically be entitled to a refund for previously paid amounts.
Any mandatory legal rights will continue to apply.
Permanent Discontinuation by Frigga
If Frigga permanently discontinues a paid Service before the end of a prepaid subscription period and does not provide substantially equivalent continued access, Frigga may provide, as appropriate:
- a prorated refund for the materially affected unused prepaid period;
- account credit;
- a substantially comparable replacement Service; or
- another remedy agreed with the Customer or required by applicable law.
Customers purchasing under Enterprise Agreements, Order Forms, SLAs, or other negotiated agreements may have additional rights under those agreements.
16. ACCOUNT CLOSURE
Closing or deleting a Frigga account does not independently create a right to a refund.
Customers with an active paid subscription should cancel future renewal before closing the applicable account or Organization.
Subscription cancellation and account deletion are separate actions.
Frigga may retain billing, invoice, tax, accounting, contractual, fraud-prevention, security, dispute, or other legally retainable records after cancellation or account closure in accordance with applicable law and Frigga's Privacy Policy.
17. MANDATORY CONSUMER RIGHTS
Frigga provides Services to businesses and may also provide Services to individual consumers.
Depending on the Customer's jurisdiction, applicable consumer-protection law may provide mandatory rights relating to:
- cancellation;
- withdrawal;
- refunds;
- incorrect or unauthorized charges;
- defective or non-conforming digital services;
- material service failures;
- misleading descriptions; or
- other statutory remedies.
Nothing in this Policy excludes, restricts, waives, or replaces a right or remedy that cannot lawfully be excluded or waived.
Where applicable law provides a mandatory remedy that conflicts with this Policy, the mandatory legal requirement will apply.
18. ENTERPRISE AND SEPARATELY NEGOTIATED AGREEMENTS
Customers purchasing Services under an Order Form, Enterprise Agreement, Managed Services Agreement, Statement of Work, SLA, or another separately negotiated written agreement may be subject to different:
- subscription commitments;
- payment terms;
- cancellation rights;
- termination rights;
- credit provisions;
- refund rules; or
- billing arrangements.
Where such an agreement expressly addresses a matter covered by this Policy, the applicable negotiated agreement will govern that matter to the extent permitted by law.
19. CHANGES TO THIS POLICY
Frigga may update this Policy from time to time to reflect changes to:
- the Services;
- subscription or billing models;
- payment methods;
- commercial practices;
- legal requirements; or
- regulatory obligations.
Material changes may be communicated through the Frigga website, the Services, email, account notifications, or another reasonable method where appropriate.
The "Last Updated" date at the beginning of this Policy indicates when it was most recently revised.
Changes will not retroactively remove mandatory rights that applied to a completed transaction.

Consumer Grievance – Refund or Billing
Where the Consumer Protection (E-Commerce) Rules, 2020 apply, Frigga will acknowledge an applicable consumer complaint within forty-eight (48) hours of receipt and endeavor to redress the complaint within one month from the date of receipt, subject to applicable law.
